1. Service Scope
Sheenu Web Consultancy ("we", "our", "us") provides web consulting, e-commerce solutions, software and web application consultation, website maintenance, payment and business integrations, and IT consulting services. The exact scope of each engagement is defined in a written proposal, statement of work or signed agreement.
2. Consulting Agreements
All consulting engagements are governed by a formal agreement that specifies deliverables, timelines, milestones, responsibilities and fees. In the absence of such a document, these Terms & Conditions apply.
3. Project Responsibilities
- Clients are responsible for providing timely access to information, content, accounts and stakeholders required to complete the work.
- We are responsible for delivering services with professional skill, care and confidentiality.
- Delays caused by lack of client input may impact timelines without penalty to us.
4. Payment Terms
- Fees, currency, taxes and payment schedules are specified in the proposal or invoice.
- Unless agreed otherwise, an upfront deposit is required to begin work, with subsequent milestone payments.
- Invoices are payable within 7 days of the invoice date. Overdue amounts may attract interest and suspension of work.
- All fees are non-refundable once corresponding work has been performed.
5. Intellectual Property Rights
On full payment, the client receives ownership of final deliverables created specifically for them, excluding pre-existing tools, frameworks, libraries, methodologies or know-how owned by us or third parties. We retain the right to use general knowledge, skills and experience gained during the engagement.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. Confidential information shall not be disclosed to third parties without written consent, except where required by law.
7. Website Development Guidance
Our recommendations are based on industry best practices at the time of advice. Implementation outcomes depend on factors including third-party platforms, hosting environments, content quality and client decisions. We do not guarantee specific search rankings, traffic or sales figures.
8. Third-Party Integrations
Where engagements involve third-party services (payment gateways, CRMs, hosting, analytics, plugins, APIs, etc.), the use of those services is subject to their respective terms. We are not liable for outages, policy changes, pricing changes, deprecations or data loss caused by third-party providers.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of any engagement shall not exceed the fees actually paid by the client to us in the three months preceding the event giving rise to the claim. We shall not be liable for indirect, incidental, consequential or special damages.
10. Termination Policy
Either party may terminate an engagement with written notice as specified in the relevant agreement (typically 14 days). Upon termination, the client shall pay for all work performed up to the termination date. We may suspend or terminate services immediately for non-payment, breach of these terms or unlawful conduct.
11. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Uttar Pradesh, India.
12. Changes to These Terms
We may update these Terms & Conditions from time to time. The latest version will be available on this page with an updated revision date.
